TERMS AND CONDITIONS — Magic Reel Studio

1. DEFINITIONS


In these Terms and Conditions (hereinafter "T&C"):


  • "AiJ Labs", "We", "Our": AiJ Labs, owner and operator of Magic Reel Studio.
  • "User", "You", "Your": Any person who accesses or uses the Service.
  • "Service": The Progressive Web App (PWA) platform available at www.magicreelstudio.app, including all its features, tools, and functionalities.
  • "User Content": Photos, texts, data, logos, and any material you provide to the Service.
  • "Generated Content": Videos, scripts, and audio produced by the Service based on your User Content.
  • "Subscription": Your paid access to the Service during the billing period specified in your plan.


    • 2. ACCEPTANCE AND BINDING AGREEMENT


    2.1 By accessing or using Magic Reel Studio, you accept and acknowledge that you are bound by these T&C in their entirety. If you do not accept these terms, you must not use the Service.


    2.2 These T&C constitute a binding contract between you and AiJ Labs. Mere browsing, account creation, or access to the Service implies full acceptance.


    2.3 AiJ Labs reserves the right to update these T&C at any time. Changes will be notified by email with a minimum of 7 days' advance notice before taking effect. Your continued use of the Service after that period implies acceptance of the new terms.



    3. DESCRIPTION OF THE SERVICE


    3.1 Magic Reel Studio is a software tool that enables the creation of short advertising videos through artificial intelligence, designed exclusively for the creation of content for lawful commercial purposes. The Service:


  • Receives your User Content (photos, texts, logos).
  • Automatically generates advertising scripts using artificial intelligence.
  • Produces audio via voice synthesis based on those scripts.
  • Renders the final video applying royalty-free library music.

    • 3.2 The Service is provided "AS IS", without warranties of any kind. We do not guarantee:


  • Accuracy, quality, or suitability of generated scripts.
  • That videos will meet technical requirements of specific platforms (Instagram, TikTok, YouTube, etc.).
  • Uninterrupted availability of the Service.
  • That the Service will be free of errors or interruptions.
  • Commercial results, audience reach, or virality of your videos.

    • 3.3 The Service does not include SLA, uptime guarantee, or guaranteed technical support.


    3.4 Library Music: Videos generated by the Service include music selected from a royalty-free track library. While AiJ Labs makes its best effort to use music with free licenses, AiJ Labs does not guarantee nor assumes any responsibility for claims, disputes, sanctions, or consequences of any kind that may arise from the use of such music in videos that the user publishes or distributes. Verification of usage rights on each specific platform or context is the sole responsibility of the user.


    3.5 Demo Videos: Demo videos available on the Service or in AiJ Labs marketing materials are merely illustrative and do not represent real use cases of the application. Actual results may vary depending on the content, photos, text, and settings used by each user.



    4. SUBSCRIPTION AND PAYMENT


    4.1 Plans and Credits


    Magic Reel Studio operates with a monthly credits system. Each plan includes a fixed number of videos/credits per month. Credits are not cumulative: unused credits at the end of the billing period expire without right to compensation.


    4.2 First Month (Promotion)


    The first month is billed at a 50% discount off the regular subscription price. This discount applies only once per user/account.


    4.3 Renewal and Price Changes


    Subscriptions renew automatically at the end of each billing period. AiJ Labs reserves the right to change prices, providing a minimum of 30 days' advance notice by email. New prices apply from the next renewal period following the notice.


    4.4 Payment Processors


    Payments are processed by authorized third parties: Mercado Pago and Paddle. AiJ Labs does not store card numbers or sensitive financial data. The conditions of each processor are governed by their own terms of service.


    4.5 NO REFUNDS


    All purchases are final. No refunds are offered under any circumstance, even if:


  • You change your mind about the Service.
  • You do not use all the credits in your plan.
  • The Service does not meet your expectations.
  • You experience technical issues.
  • Your account is suspended or terminated.

    • 4.6 Cancellation


    You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds will be issued for months already paid.



    5. USER RESPONSIBILITIES


    5.1 Lawful Use of the Service


    Magic Reel Studio is designed for the creation of videos for lawful commercial purposes. By accepting these T&C, you declare that you will use the Service exclusively for that purpose and that you will not use it for any illegal, prohibited, or immoral activity.


    5.2 User Content


    You assume total and exclusive responsibility for all User Content you provide to the Service, including:


  • Copyright and intellectual property: You guarantee that you own all rights to the photos, texts, and materials you upload, or that you have an explicit license to use them.
  • Right of image: You are responsible for any face or identifiable person appearing in your photos. You guarantee that you have written consent from all people who appear, or the right to use those images.
  • Trademarks and third-party rights: If you mention trademarks, logos, company names, or any third-party intellectual property, you are fully responsible for having the right to do so.

    • 5.3 Generated Content — Ownership and Responsibility


    Generated Content (video, audio, script) belongs to you once created. You are free to use it as you wish. However:


  • You assume all legal risks arising from your publication or distribution.
  • AiJ Labs has no responsibility over the content you publish, nor over the legal, commercial, or reputational consequences that such content may generate.
  • If your video infringes third-party rights, the responsibility is exclusively yours.

    • 5.4 Consequences on Social Media and Platforms


    You assume total responsibility for:


  • Suspension, removal, or copyright notices on Instagram, TikTok, YouTube, Facebook, or other platforms.
  • Third-party claims (copyright, right of image, defamation, etc.).
  • Loss of followers, reach, or monetization as a result of your videos.
  • Sanctions, account blocks, or legal charges against you in any jurisdiction.
  • Future commercial consequences arising from content you publish.

    • 5.5 Prohibited Content


    You must not use Magic Reel Studio to create content that:


  • Promotes, facilitates, or advertises illicit drugs, controlled substances, or consumption methods.
  • Is explicitly sexual, pornographic, or for adults.
  • Contains racist, discriminatory, xenophobic, antisemitic language, or hatred against protected groups.
  • Promotes, facilitates, or advertises illegal gambling.
  • Contains fraud, scams, Ponzi schemes, or illicit activities of any kind.
  • Is political, electoral, or proselytizing in nature for manipulation purposes.
  • Impersonates, defames, or slanders third parties.
  • Contains unauthorized deepfakes of real people.
  • Violates local, national, or international laws in any jurisdiction.

    • Breach of this section entitles AiJ Labs to suspend or terminate your account immediately and without refund, without prejudice to other legal actions that may apply.



    6. LIMITATION OF LIABILITY AND TOTAL DISCLAIMER


    6.1 AiJ Labs is solely a software tool provider. We are not responsible under any circumstance for:


  • The content you create or publish with the Service.
  • How you use the generated videos, including their publication, distribution, or commercialization.
  • Direct, indirect, incidental, special, punitive, or consequential damages arising from the use of the Service.
  • Errors in scripts, audio, or videos generated by artificial intelligence.
  • Copyright infringement, right of image, trademarks, or other intellectual property violations committed by the user.
  • Third-party claims against the user arising from Generated Content.
  • Consequences arising from the use of the Service for illicit, illegal, or morally objectionable activities.
  • Commercial losses, lost profits, reputational damage, or any indirect harm.

    • 6.2 THE SERVICE IS PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND.


    6.3 IN NO EVENT WILL AIJLABS BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES.


    6.4 The total liability of AiJ Labs, should a competent court determine it, shall not exceed the amount you paid for your subscription in the last 3 months, or USD 100, whichever is less.



    7. MINORS


    The Service is intended exclusively for persons 18 years of age or older with legal capacity to enter into contracts. By using the Service, you declare that you are at least 18 years old. AiJ Labs is not responsible if a minor accesses the Service in violation of this restriction.



    8. TERMINATION


    AiJ Labs reserves the right to suspend or terminate your account at any time, for any reason, without prior notice or refund, especially in case of violation of these T&C.



    9. INTELLECTUAL PROPERTY


    9.1 The Magic Reel Studio platform, including its name, logo, design, interface, brand colors, source code, algorithms, templates, texts, images, and any other element of the Service or AiJ Labs marketing materials, are the exclusive property of AiJ Labs and are protected by intellectual property laws of the Republic of Argentina and applicable international treaties. Their reproduction, distribution, modification, reverse engineering, or unauthorized use in any form is prohibited.


    9.2 Videos, audio, and scripts generated through the Service using User Content belong to the user who generated them, once produced. AiJ Labs does not claim ownership rights over Generated Content. Notwithstanding the above, the user assumes total and exclusive responsibility for Generated Content and its subsequent use, as established in sections 5 and 6 of these T&C.



    10. INDEMNIFICATION


    You agree to indemnify and hold harmless AiJ Labs, its representatives and collaborators, against any claim, demand, damage, cost, or expense —including legal fees— arising from your use of the Service, your User Content, Generated Content that you have published or distributed, your breach of these T&C, or your violation of third-party rights.



    11. FORCE MAJEURE


    AiJ Labs will not be liable for delays, interruptions, or failures caused by circumstances beyond its reasonable control, including but not limited to: natural disasters, third-party infrastructure failures, power outages, armed conflicts, pandemics, governmental acts, or failures of external providers.



    12. SEVERABILITY


    If any clause of these T&C is declared invalid, void, or unenforceable by a competent court, such clause will be considered severed from the rest of the agreement, which will continue in full force and effect.



    13. GOVERNING LAW AND JURISDICTION


    These T&C are governed by the laws of the Republic of Argentina. Any dispute, controversy, or claim arising from or related to these T&C, or the use of the Service, will be resolved exclusively before the Ordinary Civil Courts of the Autonomous City of Buenos Aires, Argentina, the parties waiving any other jurisdiction that may apply to them.


    AiJ Labs operates globally. To the extent that local legislation in your country establishes additional non-waivable rights, those rights are recognized without altering the dispute resolution forum established in this article.
